Terms of Use / General Terms and Conditions (GTC) of Justima
Valid for all contract conclusions as of December 5, 2025
1. Subject matter and validity of the GTC
a) The company OC Projects UG (haftungsbeschränkt),

50823 Cologne, Germany
registered with the commercial register of the Local Court of Cologne under HRB 125023
(hereinafter referred to as "OC Projects", "we" or "us")
operates the online platform "Justima" accessible via justima.app (hereinafter the "Platform").
b) Justima is an AI-based information and monitoring platform designed to support users in keeping track of legal and regulatory developments relevant to their organisation. After creating an account and providing company- or organisation-related information (e.g. sector, jurisdictions, topics, legal areas), users receive a personalised newsfeed of legal and regulatory information, including:
- legal / regulatory news from European and national sources such as legislators, courts, authorities, institutions and associations,
- references to original sources where available, and
- AI-generated summaries, extractions (such as deadlines or other metadata) and structured information highlighting potential relevance for the user's organisation
(collectively the "Content").
c) The Platform and the Content are for informational purposes only and are not intended to constitute legal advice or any other professional advice. The Platform does not replace consultation with qualified legal counsel and does not establish an attorney-client relationship, even where the user is a lawyer or law firm.
d) These General Terms and Conditions ("GTC") govern the use of the Platform in the version valid at the time of registration and/or order. Deviating terms and conditions of the user shall not apply unless OC Projects expressly agrees to their applicability in writing.
e) No separate individual contract text is provided for the use of the Platform. The content of the contract concluded between the user and OC Projects consists of these GTC and the specific information provided during registration and when ordering a paid subscription, which are stored by OC Projects and can be accessed in the user account at any time.
f) By registering on the Platform and/or by taking out a paid subscription, the user accepts the validity and applicability of these GTC.
g) The Platform is available to businesses, organisations, law firms, lawyers and other professionals as well as (where applicable) consumers over 18 years of age (collectively referred to as "user" or "users").
2. Services and rights of OC Projects
a) OC Projects provides users with a personalised newsfeed with current legal and regulatory information from European and national sources, such as legislators, courts, authorities, institutions and associations, including an indication of original sources where available ("Newsfeed").
b) Based on the information provided by the user regarding its organisation (e.g. company data, business activities, legal areas, jurisdictions), Justima uses generative AI and other automated methods to:
- identify and select potentially relevant legal and regulatory developments,
- generate summaries, overviews and briefings,
- highlight possible relevance for the user's organisation, and
- extract additional information (such as deadlines or other procedural or metadata fields)
(collectively, the "AI-Generated Output").
c) The Content and AI-Generated Output are created (wholly or predominantly) by automated systems and generative AI. While we may use quality assurance processes from time to time, we do not warrant that the Content or AI-Generated Output is complete, accurate, up to date or suitable for any particular purpose. In particular:
- we cannot guarantee that all relevant legal or regulatory developments for a specific organisation are identified or covered;
- we cannot guarantee that extracted information (such as deadlines or classification of relevance) is correct or complete; and
- the Content may contain errors, omissions, outdated information or misclassifications.
The user remains solely responsible for verifying all information and for obtaining independent legal advice where necessary.
d) The scope of the Content and the usage options (the "License") depend on the subscription chosen by the user. Different subscription plans may include, for example, varying numbers of:
- organisations or entities,
- user accounts, and
- legal areas or topics.
The License is limited in time to the term of the respective free trial (if any) or paid subscription.
e) The rights to the Platform and the Content distributed via it are and remain with OC Projects and/or its licensors. The Platform software applications and Content are licensed to the user within the scope of the contractual use. OC Projects grants the user a non-exclusive, non-transferable, non-sublicensable, time-limited right to use the Platform and the Content for internal purposes of the user's organisation and/or own professional information needs, subject to these GTC.
f) All Justima and OC Projects trademarks, trade names, logos, domain names and other brand features are the sole property of OC Projects. The License does not grant the user any rights to use these marks, names or logos, whether for commercial or non-commercial purposes, except as strictly necessary for the intended use of the Platform.
g) OC Projects reserves the right to modify, expand, restrict or discontinue parts of the Platform or specific functionalities at any time, provided this is reasonable for the user.
3. Registration with Justima
a) In order to use the services of Justima, registration on the Platform is required. Only persons over the age of 18 with full legal capacity are entitled to register. A user registering on behalf of a company, organisation or law firm represents and warrants that they are authorised to do so.
b) Registration itself is free of charge (free account) and does not oblige the user to conclude a paid subscription. By registering, the user enters into a contract with OC Projects for limited, free use of the Platform.
c) For registration, the user must provide an email address and a password of their choice. Additional information, including company or organisation data, may be requested during or after registration.
d) Any information required for registration and, where relevant, configuration of the organisation profile (e.g. legal areas, jurisdictions, sector) must be provided completely and correctly and must be kept up to date at all times. OC Projects is entitled to store and process the data provided by the user during registration and use of the Platform in accordance with applicable data protection laws and the Justima Privacy Policy.
e) The user must keep their password secret and protect access to their account. The user is solely responsible for all activities occurring under their account, unless they are not responsible for such activities. User accounts must not be shared with unauthorised third parties. Any unauthorised use of the user account, or any suspicion thereof, must be reported to OC Projects without undue delay.
f) Users may set up additional user accounts within their organisation's subscription (e.g. for multiple employees or colleagues) in accordance with the respective subscription plan. The main account holder is responsible for ensuring that all users within their organisation comply with these GTC.
4. Conclusion of a trial subscription ("Free Trial Phase")
a) OC Projects may offer new users the use of the Platform or specific subscription plans for a certain period of time free of charge (a "Trial Subscription" or "Free Trial Phase"). OC Projects may discontinue, restrict or change such free trial offers at any time for the future, without prior notice.
b) Some Trial Subscriptions may require the user to provide payment details upon registration for the trial. In such cases, the user will be informed that, unless cancelled in time, the Trial Subscription will automatically convert into a paid subscription upon expiry of the trial period. Details of the relevant subscription plan, duration and price will be displayed at the time of ordering.
c) If the user does not wish the subscription to continue as a paid subscription, they must cancel it in accordance with these GTC before the end of the trial period.
5. Conclusion of a paid subscription
a) To use the services of Justima to a broader extent, additional service packages are available in the form of paid subscriptions ("Subscription Accesses"). These may be designed for, for example:
- single-user or multi-user access,
- specific legal areas or topics,
- businesses or organisations, and/or
- lawyers and law firms.
The available plans, features, prices and terms are displayed to the user in the order process on the Platform.
b) Subscription Accesses may be offered for various, potentially changing, terms (e.g. monthly, yearly or custom terms), which are displayed to the user in the order options.
c) The user makes a legally binding offer for a paid subscription when they enter the data requested in the online order form and select the corresponding button to complete the order (e.g. "Order with obligation to pay" or similar) at the end of the order process.
d) The contract is concluded when OC Projects issues a declaration of acceptance (order confirmation), which is sent to the user by email within a reasonable period of time, or when OC Projects first provides access to the paid subscription features, whichever occurs earlier.
e) The text of the contract (consisting of the order, these GTC and the order confirmation) is sent to the user by OC Projects on a durable medium (e-mail) as contract confirmation and stored in compliance with data protection laws. For information on the collection, use and processing of user data, OC Projects refers to its Privacy Policy.
6. Cancellation policy (Right of withdrawal for consumers)
If the user is a consumer (i.e. a natural person who concludes the contract for purposes that predominantly are outside his or her trade, business or profession), the user is entitled to a statutory right of withdrawal upon conclusion of a distance contract. OC Projects informs about this right as follows:
a) Right of withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason.
The withdrawal period is fourteen days from the day of the conclusion of the contract.

of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or e-mail). You may use the model withdrawal form below, which is not mandatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
b) Consequences of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including delivery costs (if any and except for any additional costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we are informed of your decision to withdraw from this contract.
We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless expressly agreed otherwise with you; in any event, you will not incur any fees as a result of such reimbursement.
If you have requested that the services should commence during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated your withdrawal from this contract, in comparison with the full coverage of the contract.

7. Remuneration and payment modalities, set-off and right of retention
a) Paid subscriptions are subject to a fee and are payable from the beginning of the subscription period.
b) The applicable prices and subscription terms are those indicated at the time of the order on the Platform. Prices may be shown exclusive or inclusive of statutory VAT; the applicable details are displayed in the order process.
c) OC Projects offers the payment methods indicated before the start of the ordering process (e.g. credit card, SEPA direct debit, online payment providers, invoice, etc.). OC Projects may change the available payment methods for future orders.
d) Within the framework of a Subscription Access, the user's payment obligation towards OC Projects is automatically renewed at the end of the respective subscription period if the user does not cancel the paid subscription in due time in accordance with section 8.
e) The user is not entitled to set off their own claims against claims of OC Projects unless their counterclaims have been legally established, are undisputed or have been acknowledged by OC Projects. The user is also entitled to set off against claims of OC Projects if they assert notices of defects or counterclaims from the same contractual relationship.
f) A right of retention may only be exercised if the counterclaim arises from the same contractual relationship.
8. Term and termination
a) The free user contract (free account) runs from the time of registration for an indefinite period and may be terminated by either party at any time with immediate effect, unless otherwise agreed.
b) The respective paid subscription runs at least for the term originally selected by the user and is automatically extended for the same term if it is not cancelled in accordance with this section 8. Unless otherwise indicated in the order process, cancellation may be made up to the end of the respective subscription period.
c) The user may cancel the paid subscription via the account settings on the Platform or by contacting OC Projects via the communication channels indicated on the Platform, in each case with the notice period stated in the order process and/or these GTC.
d) Cancellation takes effect at the end of the current subscription period. Until then, the user retains full access to the features included in the subscription. After the end of the subscription, the user's access may be limited to a free account or disabled entirely, depending on OC Projects' current offer.
e) If the user wishes to delete their account completely, they may do so via the settings on the Platform or by contacting OC Projects. All personal data will then be deleted or anonymised in accordance with applicable data protection laws, unless legal retention obligations require further storage.
f) The right of both parties to terminate the contract for good cause remains unaffected. Good cause for OC Projects shall in particular be deemed to exist if:
- the user is in default with payments for a significant period of time despite reminder,
- the user violates material contractual obligations, including these GTC, or
- the user misuses the Platform, e.g. for unlawful purposes.
In such cases, OC Projects may also temporarily block access to the Platform.
9. Gift vouchers and special offers
a) If the user is the holder of a Justima gift voucher or a similar code that grants the use of a certain subscription plan for a specified period, this entitles the user to use the Platform during that period, subject to these GTC and any additional conditions stated on the voucher or in the respective offer.
b) To redeem a voucher or code, the user must register with Justima (if not already done) and then activate the code on the page or in the form provided for this purpose on the Platform.
c) Gift vouchers and other codes cannot be redeemed for cash and cannot be refunded, exchanged or used to purchase other codes, unless otherwise required by mandatory law.
d) After the expiry of the respective voucher period, the Subscription Access ends. The Content will then no longer be accessible to the user unless they have or take out another subscription.
10. No legal advice and limitation of liability
a) No legal advice / no attorney–client relationship
i. The Platform, the Content and the AI-Generated Output are for general information purposes only. They do not constitute legal advice or any other professional advice and must not be used as a substitute for legal advice from a qualified lawyer.
ii. OC Projects does not provide legal representation or legal services and does not enter into an attorney–client relationship with users. This also applies where users are lawyers, in-house counsel or law firms using Justima for their own information and monitoring purposes.
iii. Users remain solely responsible for:
- assessing the legal relevance and implications of any Content;
- verifying the accuracy, completeness and timeliness of information; and
- obtaining appropriate legal advice from qualified professionals before taking decisions or actions based on the Content.
b) AI and information limitations
i. The Platform relies on generative AI and other automated processes as well as external data sources. Therefore, the Content and AI-Generated Output may be incorrect, incomplete, outdated, misleading or not suitable for the user's specific circumstances.
ii. In particular, OC Projects does not guarantee and is not liable for:
- the identification or coverage of all legal or regulatory developments relevant to the user's organisation;
- the accuracy or completeness of summaries, classifications or extracted information (including deadlines); or
- the timeliness of updates or notifications.
The user must independently check and verify all information before relying on it.
c) General limitation of liability
i. OC Projects is liable for damages of the user without limitation in cases of intent and gross negligence, as well as for injury to life, body or health.
ii. In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), OC Projects' liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are those obligations whose fulfilment enables the proper performance of the contract and on whose fulfilment the user may regularly rely.
iii. Any further liability of OC Projects for slight negligence is excluded.
iv. The above limitations of liability also apply to breaches of duty by legal representatives, employees and vicarious agents of OC Projects.
v. Liability under mandatory statutory provisions (e.g. under the German Product Liability Act) remains unaffected.
11. Amendment of the GTC
a) OC Projects reserves the right to change and/or amend these GTC with effect for the future, provided that this is reasonable for the user, taking into account the interests of OC Projects.
b) If the user has created an account, OC Projects will inform the user about any changes and/or amendments of the GTC in due time (at least four weeks before the amended GTC come into force). For this purpose, OC Projects will send the new version of the GTC to the email address provided by the user during registration or otherwise notify the user in a suitable manner (e.g. via the Platform).
c) If the user does not object to the validity of the new GTC within four weeks after receipt of the notification, the new version of the GTC shall be deemed accepted by the user. OC Projects will inform the user about this legal consequence in the notification of changes.
d) If the user objects in due time, the contractual relationship will continue under the previous GTC. In this case, however, OC Projects shall be entitled to terminate the free user contract or paid subscription with effect from the next possible ordinary termination date.
12. Out-of-court dispute resolution
For the out-of-court settlement of consumer disputes, the European Union has set up an online dispute resolution platform (ODR platform), which can be accessed via the link:

The platform serves as a contact point for the out-of-court settlement of disputes concerning contractual obligations arising from online contracts.
In accordance with § 36 VSBG (Verbraucherstreitbeilegungsgesetz – German Consumer Dispute Resolution Act), OC Projects points out that it is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
13. Final provisions
a) Should any provision of these GTC be or become invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by the statutory provisions, if any. The same shall apply in case of a gap in these GTC.
b) These GTC and the contractual relationship between the user and OC Projects shall be governed by the laws of the Federal Republic of Germany, excluding the provisions of the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory statutory provisions on the restriction of the choice of law and on the applicability of mandatory provisions, in particular of the state in which the user has his habitual residence as a consumer, shall remain unaffected.
c) If the user is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany or another EU member state, or has moved their place of residence or habitual abode to a non-EU country after conclusion of the contract, the exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship shall be Cologne, Germany.
